These Terms form a legally binding agreement between you and Paircat UG (haftungsbeschränkt) ("Paircat", "we", "us", or "our"). By downloading, installing, accessing, or using the Services in any manner, you agree to be bound by these Terms. If you do not agree to all of the Terms, you may not use the Services.
Your use of certain features of the Services may be subject to additional terms, policies, or rules ("Additional Terms"). Any such Additional Terms are incorporated by reference and form part of these Terms.
Chippery is a developer tool derived from an open-source codebase that assists with code analysis, transformation, and optimisation workflows using third-party large language model APIs. Chippery runs locally and does not provide a hosted or online service operated by Paircat.
Chippery is designed with a focus on experimental techniques for reducing token usage. We do not promise, guarantee, or warrant that any token savings will be achieved.
You acknowledge and agree that:
You use the Services entirely at your own risk. You are solely responsible for backing up your systems and data prior to use.

Subject to these Terms, Paircat grants you a limited, non-exclusive, non-transferable, revocable license to use Chippery for your own internal purposes.

Any violation of this section may result in immediate termination of your rights under these Terms.
Chippery is derived in part from OpenCode, which is licensed under the MIT License. Chippery also incorporates additional third-party open-source components, which are identified in the documentation and/or the license notices distributed with the software.
Such open-source components are licensed under their respective licences. To the extent there is any conflict between these Terms and an applicable open-source licence, the terms of the open-source licence shall prevail with respect to the relevant component.
Chippery is an independent fork and is not affiliated with, endorsed by, or sponsored by the OpenCode project or its maintainers.
Except for open-source components governed by their respective licenses, Paircat retains all right, title, and interest in and to the Services, including all related intellectual property.
You are responsible for all input you provide to the Services and any resulting output. As between you and Paircat, and to the extent permitted by law:
Due to the nature of machine learning systems, outputs may not be unique.
Chippery requires the use of third-party API providers. You are solely responsible for:
Paircat does not control and is not responsible for third-party services, including any suspension, termination, rate-limiting, or blocking of your accounts by API providers. You agree that Paircat bears no liability if a third-party provider restricts or terminates your access due to your use of Chippery.
If you are a consumer within the European Union, you acknowledge that Chippery constitutes digital content not supplied on a tangible medium. By purchasing a paid plan and accessing Pro features immediately, you expressly agree that performance begins immediately and acknowledge that you thereby lose your statutory right of withdrawal, to the extent permitted by applicable law.
Certain features of Chippery are offered under a paid Pro tier.
Payments, subscriptions, license issuance, and validation are handled via Polar.sh, a third-party payment and licensing provider. Your use of paid features is also subject to Polar.sh's terms and policies.
Paircat is not responsible for errors, outages, or actions of Polar.sh.
Refunds for paid plans are available only within fourteen (14) days of the initial purchase, unless otherwise required by mandatory law.
Paircat does not operate a hosted or cloud version of Chippery. All execution occurs in your local environment. We do not receive, store, or process your code or prompts.
The Services may perform limited network requests solely for licence validation and entitlement checks via Polar.sh. These requests do not include your source code or prompts and are limited to technical identifiers required for licensing.
Any data transmitted to third-party API providers as a result of your use of their APIs is governed exclusively by your agreement with those providers. Paircat has no control over and bears no responsibility for such data transmission.
You may stop using the Services at any time.
Paircat may suspend or terminate your access to paid features or licenses if you breach these Terms or misuse the Services.
Sections which by their nature should survive termination shall survive, including ownership, disclaimers, limitations of liability, and indemnity.
The Services do not provide legal, security, financial, or professional advice of any kind. Any output, suggestion, or modification generated by Chippery is provided for informational purposes only and must be independently reviewed, tested, and validated by you before use.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
PAIRCAT DOES NOT WARRANT THAT TOKEN SAVINGS WILL BE ACHIEVED, THAT OUTPUT WILL BE ACCURATE, OR THAT USE OF THE SERVICES WILL NOT RESULT IN SYSTEM, CODEBASE, OR DATA DAMAGE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIRCAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, BUSINESS INTERRUPTION, OR CODEBASE CORRUPTION.
IN NO EVENT SHALL PAIRCAT'S TOTAL LIABILITY EXCEED THE GREATER OF:
You agree to indemnify and hold harmless Paircat from any claims, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, or your breach of any third-party terms.
We may modify these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules.
The courts of Berlin, Germany shall have exclusive jurisdiction, unless mandatory consumer protection laws provide otherwise.
You may not use the Services in violation of applicable export control or sanctions laws of the European Union, the United States, or any other applicable jurisdiction.
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, government actions, or failures of telecommunications or power networks.
By using Chippery, you acknowledge that you have read, understood, and agreed to these Terms of Use.
